Effective Date: October 23, 2026

These Terms of Use ("Terms") are a binding agreement between you and [LEGAL NAME], doing business as Deal Dynamics Consulting ("DDC," "we," "us," or "our"), an Oregon limited liability company. They govern your use of dealdynamicsconsulting.com, thedealdynamics.com, the DDC online store, the DDC mobile and web app, our communities, live calls, emails, downloads, courses, tools, calculators, AI features, and coaching or consulting services (together, the "Services").

Part 1: Terms of Use

By visiting, creating an account, purchasing, downloading, or otherwise using the Services, you agree to these Terms, our Privacy Policy, our Refund & Cancellation Policy, and our Disclaimers & Disclosures, each of which is incorporated by reference. If you do not agree, do not use the Services.

PLEASE READ SECTION 17 (DISPUTE RESOLUTION). IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION AND WAIVES CLASS ACTIONS AND JURY TRIALS, UNLESS YOU OPT OUT AS DESCRIBED.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a company, you represent that you have authority to bind that company, and "you" includes the company.

2. Educational Services Only — No Professional Relationship

The Services provide general education and information about buying, selling, financing, and growing businesses. DDC does not provide legal, tax, accounting, investment, securities, lending, appraisal, real estate, insurance, or business brokerage advice or services through the Services. Using the Services does not create an attorney–client, CPA–client, fiduciary, advisor–client, lender, agent, broker, or any other professional relationship between you and DDC or any of its owners, employees, or contractors.

You are solely responsible for your decisions. Always consult qualified, licensed professionals (attorney, CPA, financial advisor, lender, licensed broker, appraiser) about your specific situation before acting. See Part 4 for full disclaimers.

3. Accounts

You are responsible for keeping your login credentials confidential and for all activity under your account. Accounts are for one individual and may not be shared. Notify us at [EMAIL] immediately if you suspect unauthorized access. We may suspend or close accounts that violate these Terms.

4. Purchases, Pricing, and Payment

Prices are listed in U.S. dollars and may change at any time, but changes won't affect orders already paid. We may correct pricing or description errors and cancel orders placed at an incorrect price, with a full refund. Payments are processed by third parties (such as Shopify Payments, Stripe/PassionPayments, PayPal, Apple, or Google); we do not store full card numbers. You authorize us and our processors to charge your selected payment method for all purchases, applicable taxes, and any recurring fees you agree to. Access may be withheld until payment clears.

5. Subscriptions and Automatic Renewal

Some app memberships (for example, AI Coach and Ownership OS) are subscriptions that renew automatically. Before you subscribe, we will clearly show the price, billing frequency, that the plan continues until you cancel, and how to cancel. By subscribing, you authorize recurring charges at the then-current rate until you cancel.

You can cancel anytime. Cancellation takes effect at the end of your current paid billing period, and you keep access until then.

How to cancel depends on where you subscribed:

Web purchase (DDC website or web app): cancel online in your account settings, or email [EMAIL] with the subject "Cancel My Subscription." We will confirm cancellation by email.

Apple App Store: iPhone Settings > [your name] > Subscriptions > select the DDC subscription > Cancel.

Google Play: Play Store > Profile > Payments & Subscriptions > Subscriptions > select the DDC subscription > Cancel.

Deleting the app does not cancel a subscription.

We will send you a confirmation of your subscription terms and cancellation instructions after purchase.

If we change the price or other material terms of your subscription, we will notify you in advance by email or in-app notice, before the change takes effect, with instructions for cancelling. Continuing after the change takes effect means you accept it.

If we ever offer a free trial, we will disclose the trial length, the price that applies afterward, and how to cancel before you are charged, and we will send any reminder notices required by law.

Membership-tier content access (including Lab content, downloads, community access, and live calls) is available only while your subscription is active, unless the product page clearly says otherwise. Purchases of standalone digital products in the DDC store include lifetime download access to the files purchased (see Section 7).

6. Free Resources and Email Opt-Ins

Free downloads, free app content, The Table community, and the Monthly Market Pulse (when made available free) are provided as-is and may be changed, limited, or removed at any time.

Some free resources require an email address; by providing it, you agree to receive DDC emails, which you can unsubscribe from at any time.

7. License to Use DDC Materials

All Services content — ebooks, playbooks, courses, Labs, worksheets, templates, scorecards, calculators, checklists, videos, recordings, frameworks, and methodologies — is owned by DDC or its licensors and protected by copyright, trademark, and other laws.

When you buy or access content, DDC grants you a limited, personal, non-exclusive, non-transferable, revocable license to use it for your own personal or internal business purposes.

You may fill in and use templates and worksheets for your own deals. You may not, without DDC's prior written consent:

copy, resell, sublicense, share, upload, or distribute any content (including sharing login access or files with others);

remove copyright notices or branding;

create derivative courses, products, or training materials;

use the content to provide paid advice or services to others; or

use the content to train artificial intelligence or machine learning models, or extract it with automated tools.

DDC may revoke your license and access, without refund, if you violate these restrictions.

"DDC," "Deal Dynamics Consulting," "BuyerLab," "SellerLab," "GrowthLab," "Ownership OS," "The Table," and related names and logos are trademarks of DDC.

8. Communities and Live Calls

The Table, The Members Table, and any other DDC communities and live calls are for respectful peer learning. You agree not to post anything unlawful, defamatory, harassing, discriminatory, misleading, spam, or confidential information you have no right to share; not to solicit members for investments or deals without disclosure; and not to record calls or republish other members' posts without permission.

Information shared by other members is their own opinion and is not verified or endorsed by DDC. Do not share confidential deal information (seller names, financials, NDA-protected material) in communities; communities are not private or privileged. DDC may record group calls for replay by members; by attending, you consent to that recording. DDC may moderate, remove content, or remove members at its discretion.

9. User Content

You retain ownership of what you post or submit (questions, comments, community posts, testimonials). You grant DDC a worldwide, royalty-free license to host, display, and use it to operate and improve the Services. DDC will not publish your name or testimonial in marketing without your permission.

10. AI Features

The AI Coach and any other AI-powered features generate automated responses that may be incomplete, inaccurate, or out of date. AI outputs are educational only, are not reviewed by a human before being shown to you, and are not advice from Tiffany Tavernier or DDC. Do not rely on AI outputs for any financial, legal, tax, or transaction decision without independent verification by qualified professionals. Do not enter highly sensitive information (Social Security numbers, bank account numbers, passwords, or confidential information you are bound by an NDA not to disclose). Inputs are processed by third-party AI providers as described in our Privacy Policy.

11. Third-Party Services and Links

The Services may link to or integrate third-party websites, lenders, brokers, tools, and platforms (including Shopify, Passion.io, Apple, Google, Stripe, and scheduling or email providers). DDC does not control and is not responsible for third parties, their content, their terms, or their privacy practices. A reference to a third party is not an endorsement or guarantee.

12. Prohibited Uses

You agree not to: violate any law; infringe anyone's rights; interfere with or disrupt the Services; attempt unauthorized access; use bots, scrapers, or automated tools to access content; reverse-engineer any part of the Services; upload malware; impersonate anyone; or use the Services to build a competing product.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DDC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND TIMELINESS. DDC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY RESULT WILL BE ACHIEVED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DDC AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES (THE "DDC PARTIES") WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DEALS, LOST FINANCING, BUSINESS INTERRUPTION, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO THE SERVICES OR ANY DECISION YOU MAKE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE DDC PARTIES' TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DDC FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or willful misconduct.

15. Assumption of Risk

Buying, selling, financing, and operating a business involve substantial financial, legal, operational, and market risks, including the risk of losing your entire investment, personal guarantees on loans, and liability to third parties. You acknowledge these risks and accept full responsibility for your decisions and outcomes.

16. Indemnification

You agree to defend, indemnify, and hold harmless the DDC Parties from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use or misuse of the Services, your violation of these Terms or any law, your content, or your business decisions, transactions, and dealings with third parties.

17. Dispute Resolution; Arbitration; Class Action Waiver

a. Informal Resolution First. Before filing any claim, you agree to email [EMAIL] with a description of the dispute and the relief you want, and give DDC 30 days to try to resolve it informally. DDC will do the same for you.

b. Binding Arbitration. If not resolved, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (for individuals) or Commercial Arbitration Rules (for business purchasers). The arbitration will be held in [COUNTY], Oregon, or by video or written submissions if you prefer. The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court of competent jurisdiction.

c. Exceptions. Either party may (i) bring an individual claim in small claims court, and (ii) seek injunctive relief in court for infringement or misuse of intellectual property.

d. Class Action and Jury Waiver. YOU AND DDC AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, AND EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL.

e. 30-Day Opt-Out. You may opt out of this arbitration agreement by emailing [EMAIL] within 30 days of first accepting these Terms, with your name, email, and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.

f. Time Limit. To the extent permitted by law, any claim must be filed within one (1) year after it arises, or it is permanently barred.

g. If this Section 17 is found unenforceable as to a claim, that claim will be brought exclusively in the state or federal courts located in [COUNTY], Oregon, and both parties consent to personal jurisdiction there.

18. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 17.

19. Changes to the Services and These Terms

We may modify or discontinue any part of the Services. We may update these Terms by posting a revised version with a new effective date; material changes will be communicated by email or in-app notice and apply prospectively. Continued use after the effective date means you accept the updated Terms.

20. Termination

We may suspend or terminate your access at any time for violation of these Terms, fraud, abuse, or non-payment. Sections that by their nature should survive (including 7, 9, and 13–22) survive termination.

21. Force Majeure

DDC is not liable for delays or failures caused by events beyond its reasonable control, including illness, natural disasters, internet or platform outages (including Shopify, Passion.io, Apple, Google, or AI providers), labor disputes, or government action.

22. General

These Terms, together with the policies incorporated above and any written agreement for specific services, are the entire agreement between you and DDC on this subject. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, sale, or reorganization. Electronic acceptance (clicking, checking a box, purchasing) is a valid signature.
