1. Nature of Services
DDC provides educational coaching and general business consulting to help Client think through business buying, selling, financing, and growth decisions. DDC does not provide legal, tax, accounting, investment, lending, appraisal, insurance, real estate, or business brokerage services, does not represent Client in any transaction, and does not negotiate on Client's behalf, unless a separate signed engagement says otherwise. A Deal Review is an educational review of materials Client provides; it is not a valuation, appraisal, audit, quality-of-earnings report, legal review, or due diligence, and it does not verify the accuracy of any information.
2. Client Responsibilities
Client is solely responsible for all decisions, actions, and outcomes; for independently verifying all figures, assumptions, and representations; and for retaining qualified professionals (attorney, CPA, lender, licensed broker) before relying on any information or signing any document. Client represents that Client has the right to share any materials provided to DDC, including materials subject to an NDA.
3. Scheduling
Package Term: all four sessions must be used within 12 months of purchase. Sessions may be split as Client prefers, subject to availability (minimum 30 minutes per booking).
Rescheduling: at least 24 hours' notice. Late changes and no-shows count as a used session.
Late arrival: sessions end at the scheduled time. Arrival more than 15 minutes late may be treated as a no-show.
Expiration: unused time expires at the end of the Package Term and is non-refundable.
Transfer: sessions are non-transferable without DDC's written consent.
4. Fees and Refunds
Fees are due at purchase. Refunds are governed by the Refund & Cancellation Policy (Sections 3–4).

Reasonable, brief email follow-up may be provided at DDC's discretion. Coaching is not emergency support. Do not rely on DDC for time-sensitive legal, financing, or contractual deadlines.
6. Confidentiality
DDC keeps Client's non-public information confidential and uses it only to provide services, except where disclosure is required by law, needed to prevent harm, or Client consents. Sessions are not recorded unless both parties agree in writing (email is fine). If recorded, the recording is used only for Client's benefit and DDC's internal administration.

To the maximum extent permitted by law, Client releases DDC and its owners, members, employees, contractors, and affiliates from any claims arising from or related to the services, except to the extent caused by DDC's gross negligence or willful misconduct. If Client is a California resident, Client waives California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." DDC's total liability for any claim will not exceed the fees Client actually paid for the specific service giving rise to the claim.
